Terms of Service

Shedu is a service operated by Wood Vault Inc. (“Wood Vault,” “we,” “us,” or “our”). References to “Shedu” throughout these Terms refer to the Shedu platform operated by Wood Vault Inc.

1. Acceptance of Terms

By accessing or using Shedu’s websites, applications, APIs, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

If you do not agree to these Terms, do not access or use the Service.

A separate order form, statement of work, data processing agreement, beta terms, or other written agreement between you and Shedu may supplement these Terms. If terms conflict, the more specific document controls for its subject matter.

2. Description of Service

Shedu provides business automation and AI-assisted work tools. Depending on your plan and configuration, the Service may include:

  • Business Suite — lead scheduling over email and SMS, capacity-aware calendars, seat routing and dispatch, invoicing, customer contact preferences, revenue dashboards, and outbound webhooks into tools you configure
  • Google integrations — Google Ads geographic coverage adjustments based on seat schedule, and Google Calendar availability reads
  • Nabu — an intention-protocol chat that helps you clarify objectives, constraints, and assumptions, and produce structured briefs
  • The Governed Harness — a review-and-verification pipeline that runs defined checks on AI-assisted work before changes are approved by a human
  • Research and demos — published studies, interactive demonstrations, and preview features
  • The Game — an entertainment and product-demonstration experience described in Section 14

Features differ by plan, and some features are preview, beta, demo, or free offerings. Marketing descriptions are not a promise that every feature is available to every customer. Shedu reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business and professional use. By using Shedu, you represent and warrant that you meet these requirements.

4. Accounts

Certain features require an account, which may be created with an email address and a one-time login code. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials, API keys, and connected-service tokens, and for all activity that occurs under your account, including activity by users you authorize.

Notify Shedu immediately at support@shedu.io if you suspect unauthorized access to your account.

5. Subscription and Payment

Paid features are offered on a subscription basis at the rates displayed at the time of purchase. Some plans are free. By subscribing to a paid plan, you authorize Shedu to charge your payment method on a recurring basis.

  • Billing cycle: Subscriptions are billed monthly or annually as selected at signup.
  • Renewals: Subscriptions automatically renew unless cancelled before the renewal date through your billing settings. Shedu will provide any renewal notices required by applicable law.
  • Refunds: Except where required by law, Shedu does not provide refunds for partial billing periods. If you cancel mid-cycle, your access continues through the end of the paid period.
  • Plan changes: You may upgrade or downgrade at any time; changes take effect at the start of your next billing cycle unless stated otherwise.
  • Price changes: Shedu may change subscription prices prospectively with at least 30 days’ advance notice. Continued use after the notice period constitutes acceptance of the new price.
  • Failed payments: If a payment fails, Shedu may suspend paid features after notice and a reasonable opportunity to cure.
  • Taxes: You are responsible for applicable taxes other than taxes on Shedu’s net income.

6. SMS and Communications

The Service can send automated SMS and email messages to your leads, customers, and team on your behalf. Shedu is the registered sender for platform SMS traffic and operates its own compliance controls; you remain responsible for your campaigns and instructions. When you use these features, you represent and warrant that:

  • You have a lawful basis and all required consents from recipients to receive automated messages, in compliance with the Telephone Consumer Protection Act (TCPA), FCC rules, and applicable state telemarketing and quiet-hours laws for SMS, and the CAN-SPAM Act for commercial email.
  • You will keep transactional and service messages distinct from marketing messages, and will not condition a purchase on marketing consent where prohibited.
  • You will not use the Service to send unsolicited, deceptive, abusive, or unlawful communications, and you will use accurate sender identification.
  • You will preserve consent records supplied to or generated through the Service, and understand that standard carrier message and data rates may apply to recipients.

The Service processes STOP and other supported opt-out keywords automatically and maintains suppression records. You must not bypass, delete, or route around suppression controls, and you must honor any other reasonable revocation you receive outside the Service. Shedu may block traffic that lacks required registration, consent evidence, or compliant content. You are responsible for messages you send outside Shedu.

7. Google Ads Integration

Shedu integrates with the Google Ads API to apply geographic coverage adjustments on your behalf. By connecting your Google Ads account, you authorize Shedu to:

  • Read your campaign, ad group, and performance data
  • Apply geographic coverage and bid-modifier adjustments based on seat schedule
  • Pause or enable campaigns based on your schedule settings

Shedu will never modify your campaign daily budgets or billing settings. The permissions and automations displayed in-product control over any older marketing descriptions.

You retain ownership of your Google Ads account and all campaign data. You remain responsible for advertising content, targeting, budgets, platform policies, and your billing relationship with Google. Shedu does not guarantee ad performance, spend efficiency, or lead volume.

8. Google Calendar Integration

Shedu may integrate with Google Calendar to read your schedule and determine seat availability. By connecting your Google Calendar account, you grant Shedu read access to your calendar events. Shedu uses this data solely to power the scheduling and ad automation features described in these Terms. Calendar data may contain third-party personal information; you are responsible for ensuring your connection and use are lawful.

Shedu’s use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

9. Nabu and AI Features

Nabu and other AI features help you structure instructions, record what you stated versus what was inferred, and generate briefs and other output. They do not eliminate model error, incomplete context, or the need for qualified human review.

  • Third-party models. AI features route requests to model providers, which may include OpenAI, Google, DeepSeek, and xAI, with automatic failover between them. Model availability and behavior may vary and may change.
  • No training on your content. Shedu does not use your Customer Content (defined in Section 11) to train general-purpose AI models, and configures its model providers accordingly.
  • Closed world. Nabu does not browse the web. Its inputs are what you state, grant, upload, or connect (such as a GitHub repository). You must have the rights to the material you submit or connect.
  • Your responsibility. Do not submit data to an AI feature unless you are authorized to do so and the configuration is appropriate for that data. Review output before relying on it or using it in production.

10. The Governed Harness

The Governed Harness runs defined system checks — such as independent model review of specs, prompts, and diffs, deterministic validation, and signed verdicts — before a human approves a change. Labels such as “reviewed,” “approved,” “passed,” “verified,” or “governed” describe the result of those defined checks. They are not legal, security, accounting, safety, or professional certifications, and they do not guarantee that output is correct, secure, or fit for your use.

Human approval within the harness is an operational control. It does not transfer Shedu’s legal obligations to you, and it does not make Shedu responsible for decisions you make based on harness output. You remain responsible for testing and approving changes in your own environment.

11. Customer Content and Output

“Customer Content” means the prompts, instructions, files, code, business data, and other material you submit to the Service, together with the material the Service generates specifically for you (“Output”).

As between you and Shedu, you retain your rights in what you submit, and Shedu assigns to you any rights it may have in Output generated specifically for you. Output may not be unique, may resemble output provided to others, and may not qualify for intellectual-property protection. You are responsible for reviewing Output and determining whether your use of it is lawful and non-infringing.

You grant Shedu a limited license to host, copy, transmit, and process Customer Content only to provide, secure, support, and improve the Service, consistent with Section 9 and our Privacy Policy. Feedback you volunteer may be used without restriction, but Shedu will not publicly identify you as its source without permission.

12. Your Data

You retain all rights to your data, including customer contact information, lead data, and calendar data. Shedu processes this data only as necessary to deliver the Service and as described in our Privacy Policy. Shedu will not sell your data.

You may export your data at any time while your account is active. Upon cancellation, Shedu retains account data for 30 days for export, then deletes it, except for records retained for legal, security, or billing purposes (for example, SMS consent and suppression records, and event and audit logs retained per the retention periods in the Privacy Policy). Deletion from active systems may not immediately remove data from encrypted backups, which age out on the applicable backup cycle.

13. Research, Benchmarks, and Demos

Shedu publishes research, benchmarks, and interactive demos. These may use controlled conditions, synthetic data, limited samples, or experimental systems. Published results describe the conditions tested and are not a guarantee of performance in your environment. Do not use demo or benchmark results as a substitute for testing in your own environment.

14. The Game

The Game is an entertainment and product-demonstration experience for users 18 or older. It does not offer gambling, wagering, paid entry, cash prizes, items redeemable for money, or improved odds in exchange for payment. Scores, badges, status, and virtual items have no monetary value, are nontransferable, and may be changed or removed at any time.

The Game is not professional, investment, employment, or business advice. Shedu may correct errors, invalidate manipulated results, moderate conduct, and suspend users who cheat, exploit vulnerabilities, harass others, impersonate people, infringe rights, or disrupt play.

If Shedu later offers versions of the Game for younger users, or introduces a contest, sweepstakes, prize, paid entry, chance-based mechanic, marketplace, or transferable virtual item, separate official rules or supplemental terms will govern that feature, and it will not launch until the required consents, disclosures, and legal reviews are in place.

15. High-Impact Uses

Without Shedu’s prior written approval, you may not use the Service to make or materially assist decisions about a person’s eligibility for employment, credit, housing, insurance, health care, education admissions, legal services, or government benefits, or as a substitute for a licensed professional.

The Service is not designed for emergency dispatch, life-safety systems, or any use where failure is reasonably likely to cause death, personal injury, or severe property or environmental damage.

16. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law or the rights of others
  • Harass, threaten, exploit, or harm any person
  • Send spam or unsolicited bulk messages, or evade suppression and consent controls
  • Transmit malware, viruses, or destructive code
  • Attempt to gain unauthorized access to any system, account, or data
  • Evade or tamper with security or governance controls
  • Deceive or impersonate any person or entity
  • Reverse engineer, decompile, or disassemble the Service, except to the extent such a restriction is prohibited by law
  • Resell or sublicense the Service without written permission
  • Interfere with the Service’s operation or infrastructure

Shedu may investigate suspected violations and may preserve or disclose information where legally required.

17. Beta, Preview, and Free Services

Beta, preview, research, demo, and free features — including the public Nabu demo and free plans — may be incomplete, change without notice, have reduced support and security commitments, and be modified or discontinued at any time. Do not use them for production workloads or sensitive data unless Shedu expressly authorizes that use in writing. To the maximum extent permitted by law, they are provided without warranties or service levels.

18. Third-Party Services

The Service integrates with third-party platforms, including Google (Ads, Calendar, and Maps Platform), Twilio (SMS), Stripe (billing), Resend (email delivery), Vercel (hosting), Neon (database), AI model providers (Section 9), and services you connect through webhooks (such as Zapier, Make, or your own endpoints). Your use of third-party services is subject to their terms and privacy policies. Shedu is not responsible for third-party acts or omissions, but this does not limit Shedu’s responsibility for its own selection and use of its service providers where the law assigns that responsibility to Shedu.

19. Intellectual Property

The Service — including its software, orchestration and review logic, designs, text, and branding — is owned by Wood Vault Inc. and protected by intellectual-property laws. Except for the rights expressly granted in these Terms, you may not copy, reproduce, distribute, or create derivative works of the Service. Nothing in this section transfers your Customer Content or Output (Section 11) to Shedu.

20. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

SHEDU DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE; THAT OUTPUT WILL BE ACCURATE, COMPLETE, UNIQUE, SECURE, OR FIT FOR YOUR USE; THAT EVERY ERROR OR HARMFUL OUTPUT WILL BE DETECTED BY REVIEW FEATURES; OR THAT RESULTS OBTAINED FROM USE OF THE SERVICE WILL MEET YOUR REQUIREMENTS. THESE DISCLAIMERS DO NOT EXCLUDE RIGHTS THAT CANNOT LAWFULLY BE WAIVED.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.

EXCEPT FOR YOUR PAYMENT OBLIGATIONS, YOUR INDEMNIFICATION OBLIGATIONS, OR A PARTY’S FRAUD OR WILLFUL MISCONDUCT, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO SHEDU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, FOR FREE SERVICES, ONE HUNDRED U.S. DOLLARS). THIS LIMITATION DOES NOT APPLY WHERE LAW PROHIBITS LIMITING IT.

22. Indemnification

You agree to defend, indemnify, and hold harmless Shedu and its officers, employees, and agents from third-party claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of: (a) your Customer Content or your instructions; (b) your SMS, email, and marketing campaigns; (c) your products, services, and customer relationships; (d) your violation of these Terms; or (e) your violation of law or the rights of a third party. The indemnified party must promptly notify you of the claim and reasonably cooperate; no settlement may admit fault on Shedu’s behalf without Shedu’s consent.

23. Termination

You may cancel your subscription at any time through your billing settings. Shedu may suspend or terminate your access where reasonably necessary to address a security threat, legal requirement, nonpayment, or violation of these Terms, and will provide notice when practicable. Either party may terminate for an uncured material breach after 30 days’ written notice.

Upon termination, your right to use the Service ceases, amounts due remain payable, and your data is handled per Section 12. Sections that by their nature should survive — including Sections 11, 12, 19, 20, 21, 22, and 24 — will survive.

24. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.

Before filing a claim, the complaining party will send written notice describing the dispute and the relief requested, and the parties will attempt in good faith to resolve it within 30 days.

Any dispute not resolved informally shall be brought exclusively in the state or federal courts located in North Carolina, and each party consents to the jurisdiction and venue of those courts. Nothing prevents either party from seeking injunctive relief for misuse of intellectual property, confidential information, or the Service.

25. Changes to Terms

Shedu may update these Terms prospectively. We will notify you of material changes by email, in-product notice, or a notice on this page before they take effect. Changes will not retroactively expand Shedu’s rights to use previously collected Customer Content in a materially different way without any notice or consent required by law. If you do not agree to a change, stop using the Service before the change takes effect; continued use after the effective date constitutes acceptance.

26. General

Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations. You may not assign these Terms without Shedu’s consent, except in connection with a merger or sale of substantially all assets; Shedu may assign to an affiliate or successor. The parties are independent contractors. Failure to enforce a term is not a waiver. If a term is found invalid, it will be modified to the minimum extent necessary and the rest will remain in effect. These Terms, together with the Privacy Policy and any supplemental agreements, are the entire agreement on their subject matter. Electronic acceptance is valid.
